Non-Disclosure Agreement Policy — Official policy governing confidentiality, non-disclosure agreements, and protection of sensitive information at Blue Helm Studios.
1. Purpose

The Non-Disclosure Agreement Policy (ndap) establishes the standards and procedures for protecting confidential and proprietary information of Blue Helm Studios, its partners, and collaborators.

This policy ensures that sensitive technical, business, and strategic information remains secure during partnerships, research collaborations, employment, and vendor relationships.

2. Scope

This policy applies to all employees, contractors, interns, board members, partners, researchers, and third parties who may have access to confidential information of Blue Helm Studios.

3. Definition of Confidential Information

Confidential Information includes, but is not limited to:

  • AI model weights, architectures, and training methodologies
  • Proprietary datasets and data processing techniques
  • Business strategies, financial data, and roadmaps
  • Undisclosed product features and internal tools
  • Technical documentation and source code
  • Partnership terms and negotiation details
4. Obligations of Parties

All parties bound by an NDA must:

  • Use confidential information solely for the agreed purpose
  • Not disclose, copy, or reproduce confidential information without authorization
  • Apply reasonable security measures to protect the information
  • Return or destroy all confidential materials upon request or termination of relationship
  • Report any suspected breach immediately to Blue Helm Studios
5. NDA Types and Duration

Blue Helm Studios uses two main types of NDAs:

  • Mutual NDA – For two-way information exchange (e.g., partnerships)
  • One-way NDA – When only Blue Helm Studios information is disclosed

Standard NDA duration is 5 years from the date of disclosure, or longer if the information constitutes a trade secret.

6. Consequences of Breach

Any breach of confidentiality may result in:

  • Immediate termination of access and partnership
  • Legal action, including claims for damages and injunctive relief
  • Reporting to relevant regulatory authorities where applicable
  • Disqualification from future collaboration opportunities
7. Administration and Inquiries

All NDAs are managed and reviewed by the Legal Department. Employees and partners must complete NDA training as part of onboarding or partnership initiation.
