MLUA

The Model License & Usage Agreement (mlua) defines the legal terms under which individuals, organizations, and partners may access, use, and interact with Blue Helm Studios proprietary AI models, weights, inference code, and outputs.

This agreement applies to all Blue Helm Studios AI models, fine-tuned variants, checkpoints, APIs, and any associated documentation or tools provided under license.

Subject to compliance with this agreement, Blue Helm Studios grants a limited, non-exclusive, non-transferable, revocable license to use the models solely for the approved purposes specified in the applicable partnership or research agreement.

Licensees may use the models only for:

• Internal research and evaluation
• Approved commercial applications under a separate enterprise license
• Academic or non-commercial research under the RCPP
• Integration into authorized third-party platforms under TIPP

Licensees are strictly prohibited from:

• Copying, redistributing, or reselling the model weights
• Using the models to train competing AI systems
• Removing or circumventing safety mechanisms
• Publicly hosting or exposing raw model endpoints without authorization
• Modifying model outputs to misrepresent Blue Helm Studios
• Using the models for illegal, harmful, or unethical purposes

All models, weights, and underlying technology remain the exclusive intellectual property of Blue Helm Studios. No ownership rights are transferred under this license.

Any improvements, fine-tunes, or derivatives created by the licensee may require separate licensing or revenue-sharing terms.

Blue Helm Studios may terminate the license immediately upon any breach. Upon termination, the licensee must cease all use and destroy or return all copies of the models and related materials.

Violations may result in legal action, including claims for damages and injunctive relief.
